Next Generation Holdings Limited and Ambon Brokers Limited v Finch and Finch
Amit Karia has written a case note on the recent Court of Appeal judgment in Next Generation Holdings Limited and Ambon Brokers Limited v Finch and Finch [2026] EWCA Civ 1015.

The Court of Appeal found that the directors’ misappropriation of client money did not cause the company’s wider trading losses, and that the Galoo distinction between cause and occasion applies to unlawful means conspiracy and to claims for equitable compensation for breach of fiduciary duty.

The judgment also confirmed that directors do not owe a duty to prevent the company trading at a loss or while insolvent. The full article is now available to read below.
