In large transactions, parties frequently stipulate within their contract that claims against them should be brought within a certain time, and further that there would be particular mechanisms associated with notifying the claim before such claims are to be brought. Whilst these would normally bring some degree of certainty to the transaction and subsequent dispute resolution mechanism, the case law is replete with examples of how prospective claimants end up being locked out of their claims due to them misunderstanding what is expected under these clauses.
In this session, JJ will cover some common issues which arise under contractual time bar clauses, which should be borne in mind both when advising on the drafting of the clauses and when considering how to proceed when a claim arises.
